Assessing Technical Assets and Digital Infrastructure¶
Technology and intellectual property due diligence evaluates the target company's technology stack, software applications, IT infrastructure, intellectual property portfolio, cybersecurity posture, and data privacy compliance. For technology companies, these assets often represent the primary acquisition value. For all companies, technology capabilities enable business operations and competitive differentiation while creating potential liabilities if inadequately secured or maintained.
Technology Stack Assessment¶
Understanding the target's complete technology environment provides visibility into operational dependencies, integration complexity, technical debt, and modernization requirements.
Application Portfolio¶
Core Business Applications include enterprise resource planning (ERP) systems (SAP, Oracle, NetSuite, Microsoft Dynamics), customer relationship management (CRM) platforms (Salesforce, HubSpot, Microsoft Dynamics), financial management and accounting systems, supply chain and inventory management applications, human resources information systems (HRIS), and industry-specific vertical applications.
Assess application characteristics: version currency and vendor support status, on-premise vs. cloud deployment models, licensing models (perpetual licenses, subscriptions, usage-based), customization levels and upgrade implications, and integration architecture and data flows.
Unsupported Technology
Applications running unsupported versions create security vulnerabilities and operational risks. Vendors eventually discontinue support for older versions, eliminating security patches, bug fixes, and technical assistance. Identify unsupported technology requiring urgent modernization and estimate remediation costs.
Custom-Developed Software¶
For companies with proprietary software, review the development environment including programming languages and frameworks, development tools and methodologies (Agile, Waterfall, DevOps), source code repository and version control practices, build and deployment automation, and development, testing, and production environments.
Assess code quality through code documentation and commenting practices, automated testing coverage (unit tests, integration tests), code review processes and quality gates, technical debt accumulation, and security vulnerability scanning and remediation.
Evaluate the development team: in-house developers vs. offshore contractors, team size and skill sets, key person dependencies, developer productivity metrics, and attrition rates and recruiting challenges.
Technical Debt Assessment
Technical debt represents shortcuts, workarounds, and deferred modernization that accelerate short-term delivery but create long-term maintenance burden. High technical debt manifests as frequent production issues, slow feature delivery, difficulty attracting talented engineers, and increasing cost to maintain aging systems. Quantify technical debt remediation costs.
Open Source Software¶
Compile a complete bill of materials (BOM) for all open source components. Document license types (permissive vs. copyleft vs. proprietary-incompatible), version currency and known vulnerabilities, and active maintenance of dependencies.
Assess license compliance for GPL and AGPL components requiring source code disclosure, attribution and copyright notice requirements, restrictions on commercial use or distribution, and compatibility with the company's proprietary license.
Open Source License Risk
Copyleft licenses (GPL, AGPL) require releasing derivative works under the same license, potentially forcing disclosure of proprietary code. Assess whether open source usage complies with license terms and doesn't create obligation to open-source valuable IP. Factor remediation costs (replacing incompatible components) into valuation.
IT Infrastructure and Architecture¶
Infrastructure assessment evaluates scalability, reliability, security, and cost efficiency of the underlying technology foundation.
Data Center and Hosting¶
Review the infrastructure model: on-premise data centers (owned or colocation), public cloud (AWS, Azure, Google Cloud), private cloud or hybrid architectures, and Infrastructure-as-a-Service (IaaS) vs. Platform-as-a-Service (PaaS).
Assess infrastructure components: server and compute capacity (physical, virtual, containers), storage systems and capacity utilization, network architecture and bandwidth, load balancing and redundancy, and database platforms and management systems.
Evaluate cloud economics: monthly cloud spend and growth trajectory, reserved vs. on-demand instance usage, cost optimization opportunities, and cloud governance and cost allocation.
Scalability and Performance¶
Review capacity planning: current utilization vs. available capacity, scalability to support growth projections, performance bottlenecks and constraints, and load testing and capacity validation.
Monitor performance metrics: application response times and latency, system uptime and availability statistics, peak load handling and degradation patterns, and user-reported performance issues.
Disaster Recovery and Business Continuity¶
Assess backup and recovery: backup frequency and retention policies, backup testing and recovery time objectives (RTO), recovery point objectives (RPO) and data loss tolerance, and offsite backup storage and geographic redundancy.
Review business continuity planning: disaster recovery plan documentation and testing, failover capabilities to alternate infrastructure, critical system prioritization for recovery, and third-party dependencies and single points of failure.
DR Testing Validation
Many companies have disaster recovery plans but never test them. Request evidence of recent DR tests: What was restored? How long did it take? What issues were encountered? Untested DR plans provide false confidence. Factor actual recovery capability into operational risk assessment.
Intellectual Property Portfolio Review¶
For technology companies and businesses with significant IP assets, comprehensive IP assessment validates ownership, protectability, and freedom to operate.
Patent Portfolio¶
Review the complete patent inventory: issued patents by jurisdiction (US, Europe, Asia), pending patent applications and prosecution status, patent families and continuation strategy, key patents protecting core products or processes, and maintenance fee payment status and deadlines.
Assess patent value: claim scope and breadth of protection, relevance to current and future products, remaining patent term and expiration dates, prior art references and validity considerations, and enforcement history and litigation.
Evaluate patent strategy: offensive patents protecting products from competition, defensive patents preventing assertion by others, portfolio gaps in competitive patent landscape, and ongoing invention disclosure and filing strategy.
Software and Copyrights¶
Document software assets: source code ownership and copyright registration, authored works (documentation, marketing materials, designs), work-made-for-hire documentation for employee creations, and assignment agreements for contractor contributions.
Review software licensing: license agreements for software products, end-user license agreements (EULAs) and terms of service, open source license selection for company-published code, and dual-licensing strategies (open source and commercial).
Trade Secrets¶
Identify proprietary assets: proprietary algorithms, formulas, or processes, customer lists and business intelligence, manufacturing processes and specifications, and source code not publicly disclosed.
Assess trade secret protection: non-disclosure agreements with employees and contractors, access controls and information security measures, physical and digital security for confidential information, and trade secret policies and training programs.
Trade Secrets vs. Patents
Trade secrets require no registration but depend on confidentiality maintenance. Patents require public disclosure but provide enforceable exclusivity. Companies choose trade secret protection when inventions are difficult to reverse-engineer, patent protection is uncertain, or indefinite protection (beyond patent term) is valuable. Coca-Cola's formula is history's most famous trade secret.
Trademarks and Brands¶
Document the trademark portfolio: registered trademarks (word marks, logos, design marks), trademark classes and goods/services covered, geographic registration (US, EU, international), and common law trademarks without registration.
Assess brand value: brand recognition and customer association, marketing investment in brand development, brand equity and loyalty metrics, and domain name portfolio and social media handles.
Identify trademark risks: trademark opposition or cancellation proceedings, infringement claims from third parties, trademark dilution or genericide risk, and geographic conflicts with similar marks.
Cybersecurity Posture¶
Cybersecurity assessment identifies vulnerabilities, incident history, and compliance with security best practices.
Security Controls¶
Perimeter Security: Firewall configuration and management, intrusion detection and prevention systems (IDS/IPS), DDoS protection and traffic filtering, and virtual private networks (VPNs) for remote access.
Endpoint Security: Antivirus and anti-malware software deployment, endpoint detection and response (EDR) tools, patch management and update processes, and mobile device management (MDM) for smartphones/tablets.
Access Controls: Identity and access management (IAM) systems, multi-factor authentication (MFA) deployment, privileged access management for administrative accounts, and access review and deprovisioning processes.
Network Security: Network segmentation and VLAN architecture, wireless network security, zero trust architecture principles, and network monitoring and anomaly detection.
Security Policies and Governance¶
Review the policy framework: information security policy and standards, acceptable use policies, incident response plan and procedures, and third-party security requirements.
Assess the security organization: Chief Information Security Officer (CISO) or equivalent, security team structure and capabilities, security awareness training program, and security metrics and reporting.
Vulnerability Management¶
Conduct vulnerability assessment: regular vulnerability scanning cadence, penetration testing frequency and scope, critical vulnerability counts and remediation timelines, and known vulnerabilities requiring immediate attention.
Evaluate patch management: patch deployment schedule and compliance rates, critical patch deployment timelines, and unsupported systems unable to receive patches.
Unpatched Critical Vulnerabilities
Systems with known critical vulnerabilities represent immediate risk. Common vulnerabilities (SQL injection, cross-site scripting, unpatched servers) enable data breaches, ransomware, and business disruption. Require proof of vulnerability remediation or adjust purchase price for remediation costs and breach risk.
Cybersecurity Incident History¶
Review the incident inventory: security incidents in past 3-5 years, breach notification requirements triggered, regulatory reporting obligations, and insurance claims filed.
Conduct incident analysis: attack vectors and root causes, data compromised or systems affected, response effectiveness and lessons learned, and remediation actions taken.
Assess ongoing threats: active threat intelligence regarding company or industry, advanced persistent threats (APTs) or nation-state targeting, and ransomware susceptibility based on industry and security posture.
Data Privacy Compliance¶
Data privacy regulations impose significant compliance obligations, with substantial penalties for violations.
Privacy Regulatory Landscape¶
General Data Protection Regulation (GDPR): Assess applicability to European customers, employees, or operations. Review legal basis for processing (consent, contract, legitimate interest), data subject rights implementation (access, deletion, portability), data protection impact assessments (DPIAs), data processing agreements with vendors, and cross-border data transfer mechanisms.
California Consumer Privacy Act (CCPA) / California Privacy Rights Act (CPRA): Evaluate consumer rights to know, delete, and opt-out of sale. Review privacy policy disclosures and consumer request processes, service provider agreements, and employee and B2B exemptions.

Assess data inventory and mapping: personal information categories collected and processed, data flows (collection, storage, sharing, deletion), third-party processors and data sharing agreements, and data retention schedules and deletion practices.
Evaluate consumer rights management: processes for handling consumer requests, request volume and response timeliness, verification procedures and fee assessment, and appeals and complaint handling.
Privacy as Competitive Advantage
Strong privacy practices build customer trust and differentiate companies in privacy-conscious markets. Assess whether the target's privacy program is compliance-focused (meeting minimum legal requirements) or value-driven (exceeding requirements to build trust). Superior privacy practices can be a competitive advantage worth preserving post-acquisition.
Data Breach Response¶
Review breach preparedness: incident response plan including breach notification procedures, breach notification templates and legal review process, media relations and customer communication plans, and cyber insurance coverage and claims procedures.
Document historical breaches: prior data breaches and notifications, regulatory investigations or enforcement actions, customer attrition following breaches, and reputational impact and recovery.
Technology Integration Considerations¶
Technology due diligence findings directly inform integration planning.
Assess system integration complexity: compatibility with buyer's technology platforms, data migration requirements and complexity, system rationalization (eliminate redundant systems), and integration timeline and critical path.
Plan IT organization integration: redundant IT roles and headcount optimization, compensation alignment and retention risk, process and standard harmonization, and vendor and contractor consolidation.
Address cybersecurity integration: extending buyer security controls to acquired infrastructure, remediating identified vulnerabilities before integration, isolating acquired networks until security posture improves, and unified security monitoring and incident response.
Day-One Cyber Risk
Newly acquired companies represent attack vectors into buyer networks. Attackers target acquisitions knowing security attention is divided during integration. Implement network isolation, accelerated vulnerability remediation, and enhanced monitoring for newly acquired entities during the critical integration period.
Technology Vendor Dependencies¶
Identify critical vendor relationships: software vendors for essential applications, cloud service providers (AWS, Azure, Google Cloud), managed service providers for IT operations, and security vendors and service providers.
Review contract assessment: contract terms, pricing, and renewal dates, change of control provisions requiring consent, service level agreements and performance guarantees, and termination provisions and data portability.
Assess vendor concentration risk: single vendor dependencies and alternatives, vendor financial stability and business continuity, and contract negotiation leverage and pricing power.
